Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BusinessProfileAgent.com platform and related services (the "Service"), operated by BusinessProfileAgent.com, Steigstrasse 11, 8610 Uster, Switzerland ("we", "us", or "our"). The Service lets businesses and agencies manage Google Business Profile listings across multiple locations — importing profiles, editing them centrally or in bulk, reviewing changes, and publishing approved updates back to the connected platforms. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

• User means any individual or entity that creates an account or uses the Service.
• Content means any data, text, reports, queries, or materials you submit to or generate through the Service.
• Platform means the BusinessProfileAgent.com web application, APIs, and all associated tools.

2. Account Registration

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify us immediately at contact@businessprofileagent.com if you suspect unauthorized access.

You must be at least 16 years of age to create an account. By registering, you represent that the information you provide is accurate and complete.

3. Use of the Service

3.1 Permitted Use

You may use the Service for lawful purposes related to Google Business Profile management, review analytics, local SEO/GEO, data analysis, and reporting in accordance with these Terms and any applicable subscription plan.

3.2 Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use automated scripts or bots to access the Service outside of approved APIs
• Resell, sublicense, or redistribute the Service without our written consent
• Upload malicious code, viruses, or harmful content
• Interfere with or disrupt the integrity or performance of the Service

4. Subscriptions and Payments

4.1 Plans and Billing

The Service is offered under various subscription plans as described on our Pricing page. Paid subscriptions are billed in advance on a monthly or annual basis. All prices are in CHF/EUR and exclude applicable taxes unless otherwise stated.

4.2 Free Trials

We may offer free trial periods. At the end of a trial, your subscription will convert to a paid plan unless you cancel before the trial expires.

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods.

5. Intellectual Property

5.1 Our IP

The Service, including its design, features, AI models, code, and documentation, is owned by BusinessProfileAgent.com and protected by Swiss and international intellectual property laws. Nothing in these Terms grants you rights to our trademarks, logos, or brand elements.

5.2 Your Content

You retain ownership of the data and content you submit to the Service. By using the Service, you grant us a limited, non-exclusive license to process your content solely to provide and improve the Service. We do not sell your data to third parties.

6. Third-Party Platforms

The Service integrates with Google Business Profile. Your use of these integrations is subject to the respective third-party terms of service. Google Business Profile is a Google product governed by Google's own terms and policies; we are not affiliated with Google and do not control it.

When you instruct the Service to publish or update information, we transmit those changes to the relevant third-party platform on your instruction. We are not responsible for those platforms' decisions, review or moderation outcomes, rejections, suspensions, rate limits, downtime, or changes to their APIs, nor for delays caused by them.

You remain responsible for the accuracy, completeness and lawfulness of the business information you publish through the Service, and for holding the necessary rights and authorisations for every business profile you manage with it.

7. AI-Generated Content

The Service uses artificial intelligence to analyze data and generate insights, reports, replies, and recommendations. AI-generated content is provided for informational purposes only and does not constitute professional advice. We do not guarantee the accuracy, completeness, or suitability of AI outputs. You are responsible for reviewing and validating any AI-generated content before acting on it.

8. Data Protection

We process personal data in accordance with our Privacy Policy, the Swiss Federal Act on Data Protection (FADP/nDSG), and the EU General Data Protection Regulation (GDPR) where applicable. For details on data handling practices, see our Privacy Policy.

9. Service Availability and Warranties

9.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors beyond our control.

9.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THIS DOES NOT AFFECT ANY MANDATORY CONSUMER RIGHTS UNDER APPLICABLE LAW.

10. Limitation of Liability

To the maximum extent permitted by applicable law, BusinessProfileAgent.com shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from your use of the Service. Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable Swiss or EU law.

11. Indemnification

You agree to indemnify and hold harmless BusinessProfileAgent.com, its officers, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from your breach of these Terms, your use of the Service, or your violation of any applicable laws.

12. Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms, with notice where reasonably practicable. Upon termination, your right to use the Service ceases. You may request export of your data within 30 days of termination by contacting contact@businessprofileagent.com.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Switzerland. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Canton of Zurich, Switzerland, unless mandatory consumer protection laws grant you the right to bring proceedings in your country of residence.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
